These Terms of Service (“Terms”) are a binding agreement between you and Slatis, Inc., a Delaware corporation (“Slatis,” “we,” “us”), and govern your access to and use of slatis.com and every related application, API, command-line tool, agent integration and service (the “Services”). By using the Services you also agree to our Privacy Policy, which is part of these Terms.
By creating an account or using the Services you confirm that you have read and accept these Terms. If you use the Services on behalf of a company, you confirm that you can bind it. If you do not agree, do not use the Services.
1. Acceptance
These Terms apply to every user of the Services. You accept them when you create an account, click “I agree,” or use the Services in any way. If you accept on behalf of an organization, “you” means that organization and everyone who uses the Services under it.
2. Definitions
- “Organization” is the tenant that owns repositories, Changes and knowledge in the Services. A solo sign-up creates an organization of one.
- “Customer Content” is everything you or your agents submit to or create in the Services, including source code, repositories, Changes, specifications, comments and knowledge records.
- “Agent” is any automated system, including large language model tools, that acts in the Services on your behalf.
- “Model Provider” is a third party that runs the models your agents use, such as Anthropic, OpenAI, Google or xAI.
- “Knowledge” is the structured record of what your system means and requires: terms, rules, decisions and open questions, each with its author and history.
3. Eligibility
You must be at least 18, able to enter into a binding contract, and not barred from using the Services under applicable law. We do not knowingly provide the Services to anyone under 18.
4. Accounts and organizations
You sign in with GitHub, Google or an email link. You are responsible for your account, for keeping your credentials secure, and for everything done under it, including by agents you authorize.
Organization owners decide who joins, what each member and agent may do, and which policies apply, such as single sign-on or required approvals. We may refuse or reclaim an organization name that infringes rights or is reserved.
5. The Services
Slatis lets teams direct agents to produce software: agents propose and build changes, other agents verify them, and people decide what reaches production. The Services keep a signed, append-only record of every act.
The Services are in private beta. Features may change, pause or end, and some are labeled experimental. We will give reasonable notice before removing a feature you rely on, unless we must act sooner for security or legal reasons.
6. Agents and model providers
You choose which agents and models run in your organization. In the cloud, each organization connects its own Model Provider API keys; a personal subscription may be used only on that person’s own machine. Your use of a Model Provider is governed by your agreement with it, and we do not pay for or resell model usage.
Agents act under permissions you grant. Output produced by an agent is Customer Content. You remain responsible for deciding what to approve, merge and deploy. The Services help you verify changes; they do not guarantee that any change is correct, secure or fit for a purpose.
7. Acceptable use
You will not, and will not let any agent:
- break the law, infringe others’ rights, or upload code you are not entitled to use;
- probe, scan or test the Services’ security without our written permission, except under our responsible disclosure policy;
- use the Services to build malware, attack systems, or evade another provider’s safeguards;
- circumvent rate limits, permissions, approvals or the integrity of the record;
- resell or sublicense the Services without our agreement.
8. Customer Content and code
You own your Customer Content. You grant us a limited license to host, copy, process, transmit and display it only to provide, secure and support the Services for you.
We do not use Customer Content to train machine learning models, and we do not share it with Model Providers except when your own agents send it to the providers you configured.
9. Knowledge records
Knowledge created in your organization is Customer Content. Records confirmed by a person carry that person’s name as author or approver, and the record of who gave them force is kept as part of the signed history. You can export your knowledge in an open text format at any time.
10. Third-party services
The Services can connect to third parties, such as GitHub as a two-way mirror or your identity provider. Those services are governed by their own terms. We are not responsible for them, and disconnecting one may limit some features.
11. Intellectual property
We own the Services, including the software, interfaces, design system and documentation, except for open specifications we publish under their own licenses. Feedback you give us may be used without obligation to you.
12. Confidentiality
Each party will protect the other’s confidential information with at least reasonable care and use it only to perform under these Terms. Customer Content is your confidential information.
13. Fees
The private beta is free unless we agree otherwise in writing. Before we start charging, we will publish prices and give at least 30 days’ notice. Model Provider usage is billed by the provider directly to you.
14. Disclaimer of warranties
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that agent output, verification results or risk signals are complete or error-free.
15. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim is limited to the greater of the amounts you paid us in the twelve months before the claim or US$100.
16. Indemnification
You will defend and indemnify Slatis against third-party claims arising from your Customer Content, your agents’ actions under your authorization, or your breach of these Terms.
17. Termination and export
You may stop using the Services at any time. We may suspend or end access for a material breach, for security reasons, or if required by law. After termination you have 30 days to export your repositories, record and knowledge, after which we delete them except where the law requires us to keep them.
18. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Courts located in New Castle County, Delaware, have exclusive jurisdiction, subject to the dispute resolution section.
19. Dispute resolution
Before filing a claim, each party will try to resolve the dispute informally for 30 days by writing to the other. Either party may seek injunctive relief to protect its intellectual property or confidential information at any time.
20. Changes to these Terms
We may update these Terms. For material changes we will notify organization owners at least 30 days in advance. Continuing to use the Services after the effective date means you accept the update.
21. General and contact
These Terms are the entire agreement between us on their subject. If a provision is unenforceable, the rest remains in effect. Questions: legal@slatis.com · Slatis, Inc., Delaware, United States.
