Welcome to Slatis. These Terms of Service ("Terms") govern your access to and use of the Slatis operations intelligence platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Slatis, you represent that:

• You are at least 16 years old
• You have the legal capacity to enter into these Terms
• If using on behalf of an organization, you have authority to bind that organization
• You will comply with all applicable laws and regulations

2. Definitions

• "Service" means the Slatis platform, including all features, content, and functionality
• "User," "you," or "your" means the individual or entity using the Service
• "We," "us," or "our" means Slatis and its affiliates
• "Account" means your user account on the Service
• "Content" means any data, information, text, or other materials on the Service
• "Organization Account" means a business or team account with multiple users

3. Description of Service

Slatis is an operations intelligence platform that:

• Connects to your calendar (Google Calendar, Microsoft Calendar/Outlook, or Apple iCloud Calendar) to analyze calendar events and meeting patterns
• Calculates actual operational capacity versus calendar-based capacity
• Provides insights on meeting time, preparation time, and implementation time
• Generates recommendations for workload distribution, hiring decisions, and process optimization
• Creates dashboards and reports on team capacity and operational efficiency

Infrastructure: The Service is built on trusted third-party platforms including Supabase (database), Vercel (hosting), and potentially Railway (infrastructure) to ensure reliability, security, and scalability.

4. Account Registration and Security

4.1 Account Creation

• You must provide accurate, current, and complete information during registration
• You must maintain and promptly update your account information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account

4.2 Account Security

• Notify us immediately of any unauthorized use or security breach
• Do not share your account credentials with others
• Use a strong, unique password for your account
• We are not liable for losses resulting from unauthorized account use

4.3 Organization Accounts

• Organization administrators have additional privileges and responsibilities
• Administrators can add, remove, and manage team members
• Administrators may have access to aggregated team data and insights
• Organizations are responsible for their users' compliance with these Terms

5. Calendar Integration

5.1 Authorization

• By connecting your calendar (Google, Microsoft, or Apple), you authorize Slatis to access your calendar data as described in our Privacy Policy
• You can revoke this authorization at any time through:
  • Google: Google Account Permissions settings
  • Microsoft: Microsoft Account App Permissions settings
  • Apple: iCloud Settings or Slatis account settings
• Revoking access may limit or disable Service functionality

5.2 Data Usage

• We access calendar data solely to provide the Service and as described in our Privacy Policy
• We comply with each calendar provider's API terms and data handling requirements:
  • Google: Google API Services User Data Policy, including Limited Use requirements
  • Microsoft: Microsoft APIs Terms of Use and Microsoft Graph API guidelines
  • Apple: Apple Developer Program License Agreement and iCloud Terms of Service
• We do not sell or share your calendar data with third parties for their marketing purposes

5.3 Calendar Data Accuracy

• You are responsible for the accuracy of information in your calendar
• Slatis analyzes data as provided and is not responsible for inaccuracies in source data
• Insights and recommendations are based on the data you provide

5.4 Multi-Calendar Support

• You may connect multiple calendar accounts from different providers
• Each calendar connection requires separate authorization
• You can manage and disconnect calendars individually through your account settings

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Service for its intended purpose: analyzing operational capacity and improving team efficiency.

6.2 Prohibited Activities

You agree NOT to:

• Violate any laws, regulations, or third-party rights
• Use the Service for any unlawful or fraudulent purpose
• Upload or transmit viruses, malware, or malicious code
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its servers
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems to access the Service without permission
• Collect or harvest data from other users without consent
• Impersonate any person or entity
• Use the Service to monitor employees without proper authorization and disclosure
• Share your account with unauthorized users
• Remove or modify any proprietary notices or labels

6.3 Monitoring and Enforcement

• We reserve the right to investigate violations of these Terms
• We may suspend or terminate accounts that violate these Terms
• We may report illegal activities to law enforcement

7. Intellectual Property Rights

7.1 Our Intellectual Property

• The Service and its original content, features, and functionality are owned by Slatis
• The Service is protected by copyright, trademark, and other intellectual property laws
• Our trademarks, logos, and service marks may not be used without prior written consent

7.2 Your Content

• You retain all rights to data you provide to the Service
• You grant us a license to use your data solely to provide the Service
• This license terminates when you delete your account, except for data retained as required by law

7.3 Feedback

• Any feedback, suggestions, or ideas you provide are voluntary
• We may use feedback without obligation or compensation to you
• You waive any rights to compensation for feedback we implement

8. Payment and Subscription Terms

8.1 Free Trial

• We may offer a free trial period for new users
• Free trial terms will be specified at the time of registration
• We reserve the right to modify or discontinue free trials at any time

8.2 Paid Subscriptions

• Subscription fees are billed in advance on a monthly or annual basis
• Fees are non-refundable except as required by law
• You authorize us to charge your payment method for all fees
• Subscriptions automatically renew unless cancelled before the renewal date

8.3 Price Changes

• We may change subscription prices with at least 30 days' notice
• Price changes apply to subsequent billing periods
• Continued use after a price change constitutes acceptance of the new price

8.4 Cancellation

• You may cancel your subscription at any time through your account settings
• Cancellation is effective at the end of the current billing period
• You will retain access to paid features until the end of the billing period
• No refunds will be provided for partial billing periods

9. Service Availability and Modifications

9.1 Service Availability

• We strive to provide reliable service but do not guarantee uninterrupted availability
• The Service may be temporarily unavailable due to maintenance, updates, or technical issues
• We are not liable for any disruption or loss resulting from service unavailability

9.2 Service Modifications

• We may modify, suspend, or discontinue any part of the Service at any time
• We may add or remove features without prior notice
• We are not liable for any modifications to the Service

10. Data Protection and Privacy

• Our collection and use of personal information is governed by our Privacy Policy

11. Disclaimers and Limitation of Liability

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service.

13.2 Termination by You

• You may terminate your account at any time by contacting us
• Termination does not relieve you of payment obligations for the current billing period

13.3 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms
• Your use poses a security or legal risk
• You fail to pay applicable fees
• We discontinue the Service

13.4 Effect of Termination

• Upon termination, your right to use the Service immediately ceases
• We may delete your account and data in accordance with our data retention policy
• Sections that by their nature should survive termination will remain in effect

14. Dispute Resolution

Before filing a formal claim, you agree to contact us to seek an informal resolution.

14.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration, except:

• Small claims court disputes
• Intellectual property disputes
• Claims for injunctive relief

You agree to bring claims only in your individual capacity and not as part of a class action or collective proceeding.

15. Governing Law and Jurisdiction

17. Third-Party Services

17.1 Calendar Providers

• The Service integrates with third-party calendar services (Google Calendar, Microsoft Calendar/Outlook, Apple iCloud Calendar)
• Your use of calendar services is subject to their respective terms and policies:
  • Google: Google Terms of Service and API Services User Data Policy
  • Microsoft: Microsoft Services Agreement and Microsoft APIs Terms of Use
  • Apple: iCloud Terms and Conditions
• We are not responsible for calendar providers' services, availability, or changes to their APIs
• Changes by calendar providers may affect Service functionality

17.2 Infrastructure Service Providers

• The Service is built using the following infrastructure providers:
  • Supabase: Database and backend services - subject to Supabase Terms of Service
  • Vercel: Application hosting and deployment - subject to Vercel Terms of Service
  • Railway: Additional infrastructure (when applicable) - subject to Railway Terms of Service
• These providers process data on our behalf according to their data processing agreements
• We select providers based on their security, reliability, and compliance standards

17.3 General Third-Party Provisions

• We are not liable for any third-party service interruptions, data breaches, or policy changes
• Third-party service terms and privacy policies apply to your use of their services
• We may change or replace third-party providers to improve the Service

18. Beta Features

• We may offer beta or experimental features
• Beta features are provided "as is" with no warranties
• We may discontinue or modify beta features at any time
• Feedback on beta features is appreciated but not required
